Terms of Use

Aurayla is a professional network for builders, creators, and investors. The Services include public marketing pages, member web experiences, native mobile apps, and backend APIs. Core features include member profiles (such as name, username, bio, avatar, interests and tags, external profile links, what you are working on, what you are open to, and visibility preferences); a home feed and posts (for example updates, idea-related posts, collaboration prompts, events with optional RSVP-style interest, and polls); an ideas board to publish and explore projects with stages, tags, and save or join-interest signals; comments, likes or saves on content you interact with; connections between members; direct messaging and notifications; meet mode and similar tools to share how to connect in person (including scannable or shareable cards on supported clients); blocked accounts and saved posts where offered; and onboarding flows that collect preferences you choose to provide.

We ship the Services as a combination of hosted software, websites (including marketing pages and authenticated member areas), native mobile clients, and APIs. Features may roll out gradually or differ by platform. We may change, suspend, or discontinue functionality where appropriate, including for safety, compliance, or product strategy.

Aurayla does not broker investments, provide legal, tax, medical, or other regulated professional advice, or guarantee outcomes from introductions, ideas, or events posted by members. Anything you read or anyone you meet through the Services is for informational and community purposes; you are responsible for your own decisions and diligence.

You must be at least 13 years of age to use the Services. If you are between 13 and the age of majority in your province or territory, you may use the Services only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.

You agree to provide accurate account information and to keep your credentials secure. You are responsible for activity under your account. Notify us promptly at contact@aurayla.com if you suspect unauthorized access.

You retain ownership of content you submit. You grant Auraylaa worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify for formatting, display, and distribute your User Content as needed to operate, promote, and improve the Services. That includes showing feed posts, ideas, comments, poll results or tallies, event or RSVP-style interest signals where offered, meet mode or profile cards you activate, and derivative formats (such as previews or excerpts) consistent with each feature's audience settings.

You represent that you have the rights to grant this licence and that your content does not violate law or these Terms. You are responsible for backing up material you care about. We may remove content, limit distribution, or suspend accounts that violate these Terms or that we reasonably believe create risk for users or the platform.

You agree not to:

• Use the Services unlawfully or to harm others
• Harass, threaten, defraud, or spam users
• Post malware or attempt unauthorized access to our systems or accounts
• Scrape or use automated means to access the Services without permission
• Misrepresent your identity or affiliation
• Infringe intellectual property or other rights
• Circumvent security or usage limits

Your interactions with other members, including collaborations, events, or in-person meetings arranged after connecting through meet mode, QR exchanges, messaging, or the feed, are solely between you and those individuals or organizations. Aurayla does not endorse, screen, or verify member projects, ideas, job offers, or events. Use good judgment when sharing contact information, location, or financial details, online or offline.

The Services, including software, branding, and design (excluding your content), are owned by 16841082 Canada Inc. or its licensors. You may not copy, modify, or reverse engineer except as permitted by law or with our written consent.

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation or the accuracy of user-generated content.

To the maximum extent permitted by applicable Canadian law, Aurayla, 16841082 Canada Inc., and their officers, directors, employees, and agents are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of data, profits, or goodwill, arising from your use of the Services. Our total aggregate liability for claims relating to the Services shall not exceed the greater of (a) the fees you paid us in the twelve (12) months before the claim, or (b) one hundred Canadian dollars (CAD $100).

You agree to indemnify and hold harmless 16841082 Canada Inc., Aurayla, and their affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your content, or your breach of these Terms.

Our Privacy Policy explains how we collect and use personal information under PIPEDA and applicable law.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Disputes are subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada, in the Regional Municipality of Peel, unless applicable law requires otherwise.

Before filing a legal claim, please contact us at contact@aurayla.com to try to resolve the matter informally. If not resolved within thirty (30) days, either party may pursue remedies in accordance with these Terms and applicable law.

We may update these Terms. Material changes will be posted with an updated "Last updated" date. Continued use after changes constitutes acceptance. If you do not agree, stop using the Services.

If any provision is invalid or unenforceable, the remaining provisions remain in effect and the invalid provision will be interpreted to reflect the parties' intent as closely as possible.

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement regarding the Services.
